Simple terms for a simple tool.

1. Sonelo

These Terms of Use govern Sonelo, including its iPhone, Android, and Mac applications, custom keyboards, website, subscriptions, and related services. By using Sonelo, you agree to these Terms and acknowledge the Privacy Policy.

Sonelo converts speech into polished text in the same language and can translate speech into a language you select. Generated text may contain transcription, translation, punctuation, or contextual errors. You are responsible for reviewing text before sending, publishing, or relying on it.

2. Eligibility and accounts

You must be legally able to enter into these Terms. If you use Sonelo for an organisation, you confirm that you have authority to bind it.

You are responsible for protecting your device, chosen sign-in method, and activity through your Sonelo account. You may delete your Sonelo account in Settings. Deleting the account does not cancel an App Store or Google Play subscription.

3. Licence and acceptable use

Gaja Ventures Limited grants you a personal, limited, non-exclusive, non-transferable, revocable licence to use Sonelo for its intended purpose.

You must not:

• use Sonelo unlawfully or violate another person's rights;
• record or process content without permission required by law;
• submit malware or compromise, probe, overload, or bypass the service;
• circumvent quotas, subscriptions, access controls, or safeguards;
• resell, sublicense, or create a competing service from Sonelo except where law permits; or
• use Sonelo to facilitate fraud, abuse, harassment, or harm.

We may limit or suspend access where reasonably necessary to protect users, Sonelo, our providers, or the public.

4. Your content

You retain your rights in audio and text you submit. You give Gaja Ventures Limited and its service providers limited permission to process that content only as needed to provide, secure, and support the requested function.

You confirm that you have the rights and permissions needed to submit the content. Sonelo does not claim ownership of it. Gaja Ventures Limited does not use your recordings, transcripts, translations, or unrelated keyboard text to train AI models.

5. Free use and subscriptions

Sonelo may offer a free allowance and paid auto-renewable subscriptions. The allowance, recording limit, local price, billing period, and benefits shown in Sonelo and the applicable app marketplace at purchase form part of the offer.

For purchases through Apple:

• payment is charged to your Apple Account after confirmation;
• the subscription renews automatically unless cancelled at least 24 hours before the end of the current period;
• Apple may charge the renewal within 24 hours before the period ends;
• you can manage or cancel it in Apple Account settings;
• refunds follow Apple's applicable rules; and
• restoring purchases requires the Apple Account used for purchase.

For purchases through Google Play, payment, renewal, cancellation, refunds, and purchase restoration are handled under the terms and settings of the Google Play account used for purchase.

Benefits are personal and cannot be resold. Unused monthly processing allowance does not roll over unless Sonelo expressly says otherwise. Future price or benefit changes follow the applicable app marketplace's rules and applicable law.

6. Availability and changes

Sonelo depends on internet, device, app marketplace, identity, hosting, database, and AI services. We do not promise uninterrupted or error-free operation. Features may change as Sonelo develops, with notice where applicable law requires it.

Beta or experimental features may be incomplete, change without notice, or be discontinued.

7. Intellectual property

Sonelo, its software, design, name, marks, documentation, and materials are owned by Gaja Ventures Limited or its licensors and protected by applicable law. These Terms do not grant a right to use Gaja or Sonelo branding beyond identifying the service.

We may use feedback you deliberately provide to improve Sonelo without restriction or payment, but will not identify you publicly as its source without permission. Feedback does not include your recordings, transcripts, translations, or unrelated keyboard text.

8. Privacy

The Sonelo Privacy Policy explains how personal data is processed. Microphone, keyboard, account, and subscription features remain subject to the permissions and choices described there.

9. Disclaimer

To the maximum extent permitted by law, Sonelo is provided as is and as available. Gaja Ventures Limited disclaims implied warranties of merchantability, fitness for purpose, non-infringement, accuracy, and uninterrupted availability.

Nothing excludes a warranty or consumer right that cannot lawfully be excluded.

10. Limitation of liability

To the maximum extent permitted by law, Gaja Ventures Limited and its directors, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or lost profits, revenue, data, goodwill, or business opportunity arising from Sonelo.

Where liability cannot be excluded, total aggregate liability will not exceed the greater of what you paid for Sonelo during the preceding 12 months or USD 50. This does not limit liability where prohibited by law, including for fraud, wilful misconduct, death, or personal injury.

11. Termination

You may stop using Sonelo at any time. We may suspend or terminate access for material or repeated breach, unlawful use, security risk, non-payment, or discontinuation. Where reasonable, we will provide notice and an opportunity to remedy.

12. App marketplace terms

For an app obtained from Apple's App Store, Apple is not responsible for Sonelo or its support and has no maintenance obligation. Apple is a third-party beneficiary of the terms that apply to it. Your use is also subject to the Apple Media Services Terms and Apple's Standard Licensed Application End User License Agreement where applicable.

For an app obtained through Google Play, your use and purchases are also subject to the applicable Google Play terms. Google is not responsible for Sonelo's operation or support except to the extent required by applicable law or Google Play's terms.

13. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Hong Kong courts have non-exclusive jurisdiction. Mandatory consumer protections and rights to use another competent forum remain unaffected.

Please contact us before formal proceedings so we can try to resolve the issue.

14. General

If a provision is unenforceable, the rest continues. Failure to enforce a provision is not a waiver. You may not assign these Terms without consent; we may assign them as part of a reorganisation, financing, merger, acquisition, or transfer of Sonelo, subject to law.
